explain to investors, regulators, analysts and financial institutions the special aspects of a technology
business. Our representation of a broad spectrum of technology and life sciences companies has given
Fenwick & West unusual depth of experience in public offerings, corporate governance and other securities
matters. We are one of the most active law firms in the country in representing technology and life sciences
companies in their initial public offerings and other equity and debt offerings. We also represent many of the
most active investment banking firms for technology transactions. In addition, we have an active practice
counseling publicly-traded technology companies regarding ongoing corporate governance, disclosure and
securities law issues.
Representative Transactions
The Securities group works closely with our Executive Compensation group to handle sensitive matters of executive compensation in a dynamic regulatory environment, and with our Securities Litigation
group to conduct internal investigations and advise on other governance related matters. We also work closely with our
Mergers and Acquisitions group to enable the structuring and smooth
completion of transactions.
