Mountain View, CA (December 2, 2015) – Fenwick & West is pleased to welcome Carole Coplan as the new general manager of FLEX by Fenwick.
Launched in 2010, FLEX was co-founded by Ralph Pais, a Fenwick technology transactions partner, and Alexandra Smith, senior director of product and services development, to provide clients high-quality and cost-effective legal solutions to meet their interim legal needs and to provide attorneys with opportunities to work at exciting companies and have more control over their careers.
Coplan will take responsibility for managing the FLEX business. “We’re pleased to welcome Carole to lead FLEX and to continue the strong growth and development of this service which we think provides enormous value to our clients,” said Pais. “We believe Carole’s experience as an in-house lawyer and management experience will be real benefits to FLEX. Before joining Fenwick, Coplan held leadership positions at several top tech companies, guiding them through complicated legal issues and transactions. She most recently served as vice president of business development at Cryptography Research, Inc., a Rambus subsidiary. At Cryptography Research, Coplan helped develop the business into one of the world’s largest licensing programs which led to the company’s successful sale to Rambus. She also served as general counsel at both Responsys, Inc. and Epylon, Inc.
At Responsys, Coplan guided the company in two high profile acquisitions and managed all legal affairs for the rapidly growing SaaS and consulting services corporation. While at Epylon, she led the company through two rounds of financing totaling more than $35M and assisted in negotiating three asset acquisitions. She also supported the company’s successful asset sale to Accenture.

FLEX now has more than 85 attorneys and has provided counsel on more than 245 assignments to more than 130 companies at all stages of growth – from startups to the Fortune 500. Pais will continue to support the FLEX business while taking on more client work and pursuing other ideas for innovation in the delivery of legal services to clients. Smith will remain with the firm as senior director and will continue to support the implementation of new ideas of products, services and other innovations in the law firm environment.
Coplan holds a J.D. from San Francisco Law School and a B.A. in political science and international relations from the University of Florida. In addition to her work in the technology and legal space, Coplan owns a boutique vineyard in Sonoma, California.
