Fenwick & West Represents Micron Electronics in Acquisition of Interland

Fenwick & West has represented long-time client Micron Electronics in their $130 million acquisition of Atlanta-based Web hosting company Interland, Inc., which will result in the combination of the Web hosting businesses of both companies. The combined hosting company, headquartered in Atlanta, GA, will be known as Interland and will have six data centers, 112,000 customers, and more than 227,000 paid hosted Web sites.

Scheduled to close this Summer, the transaction called on the collective expertise of an integrated team of attorneys from Fenwick's M&A, tax, securities and intellectual property practice groups. The complexity of the deal was partly due to the tight time schedule and the simultaneous announcement of Micron's entry into a non binding agreement to sell its PC business.

Working closely with Micron counsel Steve Arnold and Brian Hicks, Fenwick's team was led by M&A Group chair David Healy and Corporate Group Chair Dennis DeBroeck. It also included corporate / securities partners Eileen Robinett, Rob Freedman and Blake Stafford, employee benefits partner Scott Spector, antitrust partner Mark Ostrau and tax partner Jim Garahan. Those rounding out the team included associates Greg Roussel, Brian Hicks, Molly McDowell, Adam Halpern, Thomas Kim, Darci Winvick, Heidi Lamb, Steven Levine and paralegal Stephen Gillen.
