Fenwick & West Represents Opsware in $1.6B Acquisition by HP

Fenwick & West LLP represented Opsware Inc. (NASDAQ: OPSW) in its acquisition by Hewlett-Packard Company (NYSE: HPQ) through a cash tender offer for $14.25 per share, or an enterprise value (net of existing cash and debt) of approximately $1.6 billion on a fully diluted basis. Opsware, based in Sunnyvale, CA, is a provider of data center automation software products for enterprises, government agencies and service providers seeking to reduce the cost and improve the quality of their data center operations.
