Fenwick & West LLP represented Viacom (NYSE: VIA) as special tax counsel in its recently announced spin-off of CBS. The spin-off creates two, separate publicly traded companies. The transaction will result in stockholders holding shares in both companies, and is expected to be tax-free to shareholders.
