Fenwick & West Represents ServiceNow in $500M Convertible Senior Notes

Fenwick & West represented ServiceNow (NYSE: NOW), the enterprise IT cloud company, in its offering of $500 million aggregate principal amount of 0% convertible senior notes due 2018. The notes were sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended.

Morgan Stanley, J.P. Morgan, BofA Merrill Lynch, RBC Capital Markets and Wells Fargo Securities acted as initial purchasers of the notes.

The Fenwick securities team included corporate attorneys David Michaels, Robert Freedman, Dawn Belt, Niki Fang, Liza Kostinskaya and Jordan Roberts.
