Fenwick & West represented Vocera Communications, Inc. (NYSE: VCRA), a provider of mobile communication solutions focused on addressing critical communication challenges facing hospitals, in its follow-on public offering of 4,825,000 shares of its common stock at a price to the public of $28.75 per share. Vocera offered 1,000,000 shares of common stock and certain existing stockholders of Vocera offered 3,825,000 shares of common stock. In addition, the underwriters of the offering purchased from Vocera and the selling stockholders, on the same terms and conditions, up to an additional 723,750 shares of common stock, consisting of 337,500 shares being offered by Vocera and 386,250 shares being offered by the selling stockholders.
J.P. Morgan Securities LLC and Piper Jaffray & Co. are acting as lead book-running managers for the offering. Robert W. Baird & Co. and William Blair & Company are acting as co-managers.
