September 13, 2011 (Seattle, WA) – Stephen M. Graham, Co-Chair of the Life Sciences Group and partner in the Corporate Group of Fenwick & West LLP, was appointed co-chairperson of the Securities and Exchange Commission's newly established Advisory Committee on Small and Emerging Companies. The SEC today announced the formation of the committee which will focus on interests and priorities of small businesses and smaller public companies.
Mr. Graham's corporate legal practice has focused on the representation of emerging and established high growth technology and life sciences companies for more than two decades. His practice ranges from the formation of new start-up companies through venture capital financings to public offerings, with a particular emphasis on mergers and acquisitions in the life sciences industry where he has counseled companies with acquirers including Amgen, Bristol-Myers Squibb and Merck. He also advises venture capital investors and investment banks in private and public financings.
Focusing on privately-held small businesses and publicly-traded companies with less than $250 million in public market capitalization, the committee will provide a formal mechanism through which the SEC can receive advice and recommendations specifically related to these companies. Mr. Graham's considerable experience representing emerging growth companies and the investors who fund them has positioned him to help lead the advisory committee as it works with the Commission on capital formation issues faced by smaller companies.
Mr. Graham will co-chair the committee with M. Christine Jacobs, CEO and Chairman at Theragenics Corp. in Buford, Ga.
