Mountain View, CA (November 1, 2013) – Fenwick & West today announced the promotion of five associates to the partnership, effective January 1, 2014. The new equity partners are Gerald Audant, Jennifer Bretan and Michael Brown, based in San Francisco, and Stefano Quintini and Karen Webb, based in Mountain View. They represent the corporate, intellectual property and litigation practices in areas ranging from securities litigation to technology transactions, trademarks and executive compensation and employee benefits.

Gerald Audant is a member of the executive compensation and employee benefits group. He counsels established and emerging technology and life sciences companies on employee benefit and equity compensation matters in corporate transactions, most recently, providing counsel on the Fenwick teams this summer that represented Cisco Systems in its $2.7 billion acquisition of Sourcefire and the sale of Keynote Systems to private equity firm Thoma Bravo. Audant advises clients on the design, modification and negotiation of compensation arrangements, including employment agreements, equity and cash-based incentive plans and separation agreements. He received his J.D. from The George Washington University Law School where he graduated with honors. He attended Wesleyan University for his undergraduate degree and graduated with a B.A. in economics and government.
Jennifer Bretan is a member of the securities litigation group. Bretan’s practice focuses on securities litigation, regulatory and internal investigations and enforcement proceedings and white collar defense. She has defended issuers, officers and directors in shareholder disputes, including securities class actions and derivative litigation. In addition, Bretan has conducted internal and board investigations on accounting issues, insider trading and option granting practices and has represented companies and individuals in regulatory matters with both the Securities and Exchange Commission and the United States Department of Justice. Her clients have included Cisco Systems, Connetics, Diamond Foods, Extreme Networks, Freedom Debt Relief, GE InVision, Immersion and Vocera Communications. Bretan received her J.D. from University of California, Berkeley, School of Law (Boalt) and her B.A. in English from Cornell University, where she graduated with distinction.
Michael Brown is a member of the corporate group. He provides strategic counseling to technology and life sciences companies, ranging from start-ups to mature publicly-traded corporations, in a wide variety of corporate transactions, including mergers and acquisitions, initial and follow-on public offerings, venture capital financings, debt financings and corporate reorganizations. He also represents leading venture capital firms, including Kleiner Perkins Caufield & Byers and New Enterprise Associates, in investments and other strategic transactions. In addition to working on multiple acquisitions and financings this past year, Brown helped to lead the Fenwick teams that took Silver Spring Networks and Marin Software public in March. Other notable transactions for Brown include representing SonoSite in its $995 million acquisition by Fujifilm Holdings and ArcSight in its $1.5 billion acquisition by Hewlett-Packard. His clients include Airbnb, Cepheid, Dermira, DexCom, Illumio, Kareo and OpenDNS. Brown received his J.D. from University of California, Los Angeles with a concentration in business law and graduated magna cum laude from California State University, Chico with a B.S. in business administration and a minor in international business.
Stefano Quintini is a member of Fenwick’s intellectual property and technology transactions groups. He counsels companies on structuring and negotiating complex technology deals, such as collaboration and license agreements, joint ventures and strategic alliances across multiple industries, with a focus on life sciences, digital health care and data-driven businesses. He also deals with intellectual property aspects of financings and mergers and acquisitions. In addition, Quintini is a member of the privacy group and assists clients with privacy and data security policies, with an emphasis on behavioral targeting and international data transfer issues. Quintini received his J.D. from the Catholic University of Milan, Italy where he graduated magna cum laude. He received his LL.M. in law, science and technology from Stanford Law School and his Ph.D. in intellectual property and competition law from the University of Pavia, Italy, and carried out his post-graduate work in Germany and in the United States.
Karen Webb is a member of the trademark group. She specializes in helping companies create, select, protect, expand and enforce brands and trademarks worldwide. Webb is a recognized expert in the social media space, both advising platforms in trademark matters, and helping brand owners navigate social media. She guides companies though rapid growth stages, creating and modifying platform policies, trademark guidelines and international filing and enforcement strategies. Webb’s clients include Twitter, Facebook, Google, NVIDIA and Pinterest. She is active in the International Trademark Association (INTA) and is a member of the Young Practitioners Committee. Webb received her J.D. from Santa Clara University and an M.B.A. from Santa Clara University’s Leavey School of Business. She graduated with honors from California Polytechnic State University at San Luis Obispo with a B.S. in psychology.
