Melissa Victoria Frayer represents technology and life sciences clients on corporate and securities law matters. She routinely represents issuers and underwriters in initial public offerings and follow on offerings, and regularly counsels clients on SEC reporting and compliance issues. Since early 2014, she has worked on public offerings valuing more than $1.8 billion.
Prior to joining Fenwick & West, Melissa worked as an associate in the corporate group with Covington & Burling's New York office where she represented underwriters and issuers in debt and equity capital markets transactions, primarily with life sciences issuers.
During law school, Melissa was an Articles Editor for the Columbia Business Law Review and a Harlan Fiske Stone Scholar. Following law school, she served as a law clerk to the Honorable Ralph K. Winter, Jr. with the U.S. Court of Appeals for the Second Circuit.
