Practice Focus

Bill represents technology and life science companies from formation and fundraising through strategic transactions and public offerings, with particular experience in AI, drug discovery, financial services, consumer goods, medical devices, gaming, and e-commerce. He also advises angel, venture and corporate venture investors on investment transactions across technology, financial services, life sciences, and AI sectors.

Approach

Bill’s advice is shaped by in-house experience at two technology companies, including chief counsel at Terabeam and associate general counsel at Network Commerce, which informs a practical approach to the legal and business issues that come with starting and scaling a technology or life science company. Clients rely on him for timely guidance on market terms, industry trends, and fundraising strategy, with an emphasis on practical decision-making rather than theoretical risks.

Supporting Growth

Bill stays involved as clients grow, advising on general corporate matters, securities issues, employment and equity compensation matters, strategic alternatives, and management and board fiduciary duties as companies add headcount, raise additional capital, and expand to new market opportunities. Bill works as an extension of the founding team, helping entrepreneurs and early-stage companies navigate the legal and business inflection points that determine whether a company can move fast without breaking itself.

What to Expect

Working with Bill means practical, creative, and thoughtful legal advice delivered efficiently, a focus on long-term client relationships and personal attention to every client, regardless of size.

Recognition and Community

Bill writes and speaks on venture capital financing, startup matters, M&A, and corporate and securities topics. Chambers USA has recognized him as a leading corporate and M&A lawyer in Washington (including most recently in 2026), and Super Lawyers has regularly recognized him for securities and corporate finance. Best Lawyers has recognized him for Venture Capital Law since 2015 and named him Lawyer of the Year for Venture Capital in Seattle in 2021. The 2017 Greater Seattle Tech Ecosystem Report also recognized him as one of the top tech lawyers in the greater Seattle area.

Bill serves on the Advisory Board of the Buerk Center for Entrepreneurship at the University of Washington’s Foster School of Business, previously served on the Seattle Aquarium Society Board, and taught legal essentials for the UW Masters of Science in Entrepreneurship as an adjunct professor.

Background

Before joining Fenwick, Bill was a partner at a multinational law firm and served as chief counsel for Terabeam and associate general counsel for Network Commerce. Outside work, he spends time with his wife and three grown boys.
