Fenwick & West Represents Underwriters in SolarWinds' Initial Public Offering

Fenwick & West LLP represented the underwriters in the initial public offering for SolarWinds, Inc. (NYSE: SWI), a provider of network management software based in Austin, TX. The offering, which is believed to be the first venture-backed company IPO since August 2008 and the third largest technology IPO in the last two years, raised approximately $174 million for SolarWinds and selling stockholders, which together sold 12,116,279 shares of its common stock.

J.P. Morgan Securities Inc., Goldman, Sachs & Co., and Morgan Stanley & Co. Incorporated acted as joint book-running managers for the offering. Jefferies & Company, Inc., Thomas Weisel Partners LLC and Ladenburg Thalmann & Co. Inc. were the co-managers.
