Nicolas (Nick) advises on representing corporate and investment banking clients in public and private corporate finance transactions.
Nick’s experience encompasses initial public offerings, common and preferred stock issuances, SPACs, at-the-market offerings, private placements and rights offerings, senior, subordinated and convertible debt offerings, including non-dollar denominated debt, securities issued by banks, hybrid and derivative instruments, PIPE offerings, tender offers and exchange offers.
Nick has significant corporate and securities experience in connection with corporate restructuring matters, including the representation of creditors and hedge funds. Nick also advises clients on securities law issues related to digital currencies and blockchain technology, including initial coin offerings. In addition, he regularly advises clients on general corporate matters, corporate governance and public company reporting, FINRA regulation and compliance and stock exchange rules.
Prior to joining Fenwick, Nick worked at several other leading international law firms, in their New York and Paris offices.
