Stephen provides strategic advice on technology and intellectual property matters to clients ranging from large publicly traded companies such as Amazon, Cisco Systems, Symantec and Goldman Sachs to startups across a broad range of emerging technologies. He has deep experience across several technologies and business models, including SaaS/Cloud, networking, security, open source, fintech, blockchain, autonomous transportation and mobility, and mobile content and messaging.
Technology Mergers and Acquisitions
Stephen has served as lead outside IP counsel for serial acquirers, buyers and sellers on hundreds of mergers and acquisitions worth billions of dollars, including many industry-defining deals.
Stephen has developed and helps his clients implement best practices for IP diligence, risk allocation and integration for technology M&A transactions. He also manages the IP aspects of complex technology divestitures and carveouts, including Symantec’s divestitures of its information management and website security solutions businesses, and Cisco System’s divestitures of its Linksys, consumer premises equipment and video solutions businesses.
Based on his extensive work in technology mergers and acquisitions, Stephen understands the issues that most concern investors and buyers and that can impact valuation. He applies that knowledge to help his earlier-stage clients develop, protect and monetize their technology and IP assets. He helps structure, draft and negotiate key technology and IP agreements, including:
