Fenwick & West was founded in 1972 in the heart of Silicon Valley—before “Silicon Valley” existed—by four visionary lawyers who left a top-tier New York law firm to pursue their shared belief that technology would revolutionize the business world and to pioneer the legal work for those technological innovations. In order to be most effective, they decided they needed to move to a location close to primary research and technology development. These four attorneys opened their first office in downtown Palo Alto, and Fenwick became one of the first technology law firms in the world.

Mr. Vetter's practice concentrates on public and private offerings of securities, mergers and acquisitions, counseling public and late-stage private companies, and other securities law matters.

Mr. Vetter’s recent public offerings include Workday, Facebook, Proofpoint, Fusion-io, Jive Software, Marin Software, Model N, Responsys, SuccessFactors and ShoreTel. He has worked on more than 45 IPOs during his career. Mr. Vetter also represents underwriters of numerous initial public offerings, including the initial public offerings of Tableau Software, Jive Software, Fusion-io, Salesforce.com, Omniture, and has experience with other public and private offerings of debt and equity securities and stock exchange listings, including the listing of SuccessFactors on the NYSE, NYSE Euronext and Frankfurt Stock Exchange, corporate governance matters and joint ventures. Mr. Vetter's mergers and acquisitions transaction experience includes the acquisition of SuccessFactors by SAP, Plateau Systems by SuccessFactors, the sale of Omneon to Harmonic, Postini to Google, VeriSign's acquisition of Network Solutions and Illuminet Holdings, @Home Corporation's acquisition of Excite, and a large number of other transactions involving public and/or private companies.
Mr. Vetter has also advised companies with respect to corporate governance and SEC matters, activist stockholders and joint ventures. He also advises a variety of late-stage private companies.
