From the early stages of the Internet — before there was even a World Wide Web — Fenwick & West established itself as a law firm that companies turn to for help with the ever-evolving legal challenges of online commerce, communication and technology.
Today, we represent companies at every stage of development and in every sector, from eCommerce and advertising to social networking, online gaming, media, cloud computing and data management. From emerging innovators to industry leaders such as Amazon, Google, Facebook and Twitter, our clients rely on us to develop creative solutions that build value.
At Fenwick, we provide more than just legal solutions. Our track record of helping our clients become commercially successful demonstrates that we understand the complex issues that arise when the pace of innovation exceeds the law and even current business models. Whatever our clients’ needs may be, we draw upon the expertise from all areas of our practice, including financing, mergers, acquisitions, intellectual property, privacy, executive compensation and benefits, corporate, tax and litigation, to provide usable, cost-effective solutions to your problems.
Fenwick has deep and long-standing relationships with the most active venture capitalists focused on the Internet industry. We know better than almost any other law firm how the venture community works – everything from which investors are specifically interested in your technology and stage of growth, to when it makes sense to remain independent or pursue and IPO or merger. We can also provide you with guidance on business model issues, fundraising strategy and development of quality investor materials suitable for meaningful evaluation.
Fenwick has worked diligently to enforce and defend the intellectual property rights of rapidly growing companies at the forefront of innovation. Companies of all sizes rely on us for advice and representation in all areas of intellectual property, including patent, licensing, copyright, trademark, and trade secret. We also deal extensively with Internet and digital distribution copyright issues, included fair use issues in a digital environment and Digital Millennium Copyright Act (DMCA) safe harbors.
We have handled watershed intellectual infringement battles for clients in the Internet space. Notably, we successfully defended Amazon in its 1-click patent infringement case against Barnes and Noble and in several other infringement cases. We also successfully defended Netflix in Lycos v. Netflix et al., and in several other matters, all to favorable resolution. Fenwick was named a “Go-To” law firm for litigation by The American Lawyer and are one of the top-dozen firms that Fortune 400 companies rely on for IP litigation and counseling, according to IP Worldwide.
We have one of the most active and highly ranked M&A practices in the nation and have represented Internet companies in over 100 buy-side or sell-side acquisitions in excess of $8.5 billion. We have acted as counsel in many significant Internet mergers, including VeriSign’s $21 billion acquisition of Network Solutions, one of the largest Internet deals to date, and more than 25 other VeriSign acquisitions. We also acted as counsel in Google’s acquisition of Postini, Amazon’s acquisition of Quidsi (Diapers.com and Soap.com), Amazon’s acquisition of Zappos.com, and Shutterfly’s acquisition of TinyPrints.
