The Roundtable will focus on investor engagement with issuers as well as other current issues in corporate governance. The Roundtable will begin with a discussion of proposals to reform legislative and regulatory rules related to corporate governance and shareholder engagement. The Roundtable will proceed to a discussion of engagements between issuers and investors, both activists and non-activists. Depending on the interests of participants, issues that may be discussed will include engagements, settlements, short-termism, buybacks and distributions to shareholders, and horizontal shareholding among institutional investors. Finally, the Roundtable will proceed to a discussion of company defenses and legal arrangements. Depending on the interest of the participants, this may include topics such as anti-activist pills, the anti-activist bill proposed in the Texas Legislature, and the use of multiple-class capital structures.
