Fenwick Represents ServiceNow in $241 Million Initial Public Offering

Fenwick & West represented ServiceNow, Inc. (NYSE: NOW), a leading provider of cloud-based services to automate enterprise IT operations, in its initial public offering of 13,397,500 shares of its common stock at a price to the public of $18.00 per share. Of the 13,397,500 shares of ServiceNow common stock offered, 10,350,000 shares were offered by ServiceNow and 3,047,500 shares were offered by selling stockholders.

Morgan Stanley & Co. LLC, Citigroup Global Markets, Inc., and Deutsche Bank Securities Inc. acted as lead book-running managers for the offering. Barclays Capital Inc., Credit Suisse Securities (USA) LLC, and UBS Securities LLC acted as joint book-running managers for the offering. Pacific Crest Securities LLC and Wells Fargo Securities, LLC acted as co-managers.
