Jeffrey Vetter concentrates his practice on public and private offerings of securities, mergers and acquisitions, counseling public and late-stage private companies, and other securities law matters.

Jeff has worked on more than 75 IPOs during his career. His recent issuer-side initial public offerings include LendingClub, King Digital Entertainment, Workday, Facebook, Nimble Storage, Proofpoint, Marin Software and Responsys, as well as additional confidential offerings. Jeff also represents underwriters of numerous initial public offerings, including the initial public offerings of Tableau Software, Mobile Iron, Rocket Fuel, Veeva Systems, Jive Software, Fusion-io, Salesforce.com, New Relic, Barracuda, and Omniture. He has experience with other public and private offerings of debt and equity securities and stock exchange listings, including the listing of SuccessFactors on the NYSE, NYSE Euronext and Frankfurt Stock Exchange, corporate governance matters and joint ventures.

Jeff's mergers and acquisitions experience includes transactions with total announced deal value well in excess of $40 billion, for transactions such as: Responsys’ $1.6 billion acquisition by Oracle, SuccessFactors’ $3.4 billion acquisition by SAP, SuccessFactors’ $290 million acquisition of Plateau Systems, Harmonic’s $274 million acquisition of Omneon, Postini’s $625 million acquisition by Google, VeriSign's $21 billion acquisition of Network Solutions and $1.2 billion acquisition of Illuminet Holdings, @Home Corporation's $6.7 billion acquisition of Excite, and a large number of other transactions involving public and/or private companies.

In 2015, Jeff was recommended by The Legal 500 and was named Capital Markets MVP by Law360 for his individual practice and role as co-chair of Fenwick’s corporate and securities practice. Jeff also appeared on the Daily Journal’s Top 100, the publication’s annual list of California’s leading attorneys. Jeff was named a 2012 Attorney of the Year by The Recorder and is listed in Chambers USA for capital markets: debt & equity, U.S. News – Best Lawyers® for securities and capital markets law and is repeatedly selected as a Northern California Super Lawyer by Super Lawyers, a Thomson Reuters publication. He was also named one of the top 100 lawyers in California by the Daily Journal (2013).

Prior to joining Fenwick & West in 1995, Jeff represented public companies and financial institutions in a wide range of corporate finance, lending and merger and acquisition transactions.
