Gerald Audant focuses his practice on the employee benefit aspects of corporate transactions and the design, implementation and operation of equity compensation for both long-established and emerging companies. Gerald advises clients regarding structuring their equity compensation arrangements, including employee stock options, restricted stock, RSUs and SARs employee stock plans, employment agreements, deferred compensation, and other fringe benefit arrangements. Gerald negotiates employment agreements and termination packages for both employers and management. He also advises clients on compliance with Section 409A and 280G matters, and other state and federal laws relating to executive compensation and employee benefits.

Prior to joining Fenwick & West, Gerald was an associate at a prestigious multinational law firm as well as an AmLaw 200 law firm based in Silicon Valley.
