Nicolas (Nick) H.R. Dumont concentrates his practice on representing corporate and investment banking clients in public and private corporate finance transactions.
Nick’s experience encompasses senior, subordinated and convertible debt offerings, including non-dollar denominated debt; common and preferred stock issuances; initial public offerings, at-the-market offerings, private placements and rights offerings; securities issued by banks; hybrid and derivative instruments; PIPE offerings; tender offers and exchange offers. He has represented U.S., and foreign issuers and underwriters in a range of industries and sectors including insurance, banking, shipping, consumer products, REITSs and real estate, energy and healthcare. Furthermore, Nick has significant corporate and securities experience in connection with corporate restructuring matters, including the representation of creditors and hedge funds. Nick also advises clients on securities law issues related to digital currencies and blockchain technology, including initial coin offerings. In addition, he regularly advises clients on general corporate matters; corporate governance and public company reporting; FINRA regulation and compliance; and stock exchange rules.
Prior to joining Fenwick & West, Nick worked at several other leading international law firms, in their New York and Paris offices.
