Mountain View, CA (February 6, 2015) – Fenwick & West is pleased to announce that the firm has been recognized as Technology Group of the Year by Law360 for the second year running.
In yet another record year, Fenwick worked on the third most tech acquisitions of any law firm worldwide. Law360 notes that the firm completed upward of 70 mergers and acquisitions for technology companies through the third quarter.
Fenwick also handled five of the top 10 venture capital-backed technology exits of 2014, according to CB Insights data, including both the largest venture-backed IPO, Lending Club, and venture-backed acquisition, WhatsApp’s $19 billion purchase by Facebook, which Law360 calls "a jewel in [Fenwick’s] silicon crown.”
"WhatsApp was one of our classic startups … we helped grow them up," said Alan Smith, chair of the firm’s corporate group.
For another longtime client, Fenwick also worked on the two largest venture capital financings of the year – Uber’s two $1.2 billion VC raises. The financings were also the first and second largest in history behind Facebook’s 2011 financing, which the firm also handled.
Fenwick’s other "landmark deals" in 2014 cited by Law360 are GoPro Inc.'s $42 million IPO, Giant Interactive Group Inc.'s $3 billion going private transaction, SAP SE's $8.3 billion acquisition of Concur Technologies Inc., Cisco Systems Inc.'s acquisition of Metacloud Inc., Symantec Corp.’s spinoff and Facebook's $2 billion purchase of OculusRift VR.
With more than 10 acquisitions under the firm’s belt for Facebook in 2014, Smith told Law360 that the process has become “very efficient, very effective.”
Law360 adds, “While Fenwick shepherded a number of landmark deals in 2014 [...] it also led its clients to victory in the courtroom and in government investigations.”
Fenwick’s securities litigation team convinced the Ninth Circuit to affirm the dismissal of a securities class action against client Immersion Corp. The significance of the ruling is that a whistleblower or other internal investigation can be announced without a company inevitably facing shareholder litigation.
The team also recently added Mike Dicke, most recently the Securities and Exchange Commission’s Associate Regional Director for Enforcement in San Francisco.
"All law firms claim their attorneys have unmatched experience,” The Recorder noted last year. “In the case of Michael Dicke, one of only two senior SEC enforcers to leave the agency's regional office in more than a decade, Fenwick has a good argument."
Law360 also features the jury verdict Fenwick patent litigators secured for Zillow Inc. in an infringement case brought by LendingTree Inc. that involved the coordination of loans over the Internet.
Regarding the Zillow win, Rodger Cole, chair of the firm's litigation group, tells Law360, "Our team had in-depth knowledge of the technology because they're working in tech all the time, and they were able to tell a better story to the jury."
In addition, Law360 highlights a successful resolution of Foreign Corrupt Practices Act claims brought by the Securities and Exchange Commission (SEC) and the Department of Justice against foreign subsidiaries of Hewlett-Packard. The resolution included no criminal disposition for the parent issuer, no compliance monitor, and a substantially reduced financial settlement.
Paraphrasing Smith and Cole, Law360 notes that Fenwick "grew up" among "technological household names" in Silicon Valley, giving the firm "a unique opportunity to focus on the needs of tech and life-sciences companies in the San Francisco Bay Area."
According to Smith, Fenwick is "getting more than our share of the good deals and the big deals – but there are a lot of deals in the marketplace."
As for 2015, he added, "I think it'll be another busy year of landmark transactions."
