Lexi advises technology and life sciences companies and financial institutions on a wide range of capital markets and general corporate matters. She has represented issuers, underwriters, and placement agents in a variety of public and private financing transactions, including IPOs, follow-on and secondary offerings, at-the-market offerings, PIPE offerings, convertible debt, tender offers, and other financings. Lexi also counsels clients on securities law compliance and disclosure matters, shareholder engagement, and corporate governance matters.

Lexi’s underwriter-side initial public offerings include Confluent, Mobileye, Unity Software, Upstart Holdings, and Weave Communications. Her issuer-side initial public offerings include The AZEK Company. Lexi has also represented financial advisors in public M&A transactions, including those in the acquisition of VMware by Broadcom and the acquisition of Twitter by X Corp., and placement agents for venture capital private placements, including Stripe’s Series I fundraise of more than $6.5 billion (one of the largest private stock sales in U.S. history). In addition, she has represented public and private companies in a number of corporate restructurings and reincorporations.*

Prior to joining Fenwick, Lexi was an associate in the capital markets group of a leading global law firm.

While attending law school, Lexi was a member of the UC Davis Law Review and UC Davis Business Law Journal and received the Witkin Award in securities regulation, international law and legal writing.
