Lilyanna advises startups, high-growth companies, and public companies on capital markets transactions and securities law matters, with a focus on disclosure, corporate governance, SEC reporting, and regulatory compliance, including initial public offerings and SEC advocacy.

She brings nearly two decades of experience at the U.S. Securities and Exchange Commission and served as a Legal Branch Chief in the Division of Corporation Finance, where she led teams reviewing public company filings and advising on complex disclosure and compliance issues. Prior to that role, she served as counsel to the Division’s associate directors and special counsel, contributing to agency guidance and policy initiatives addressing emerging issues such as cybersecurity disclosures and SPACs.

Before joining the SEC, Lilyanna spent a decade in private practice at a large international law firm, advising public companies and their boards on M&A transactions, equity and debt offerings, SEC reporting, corporate governance, and NYSE and Nasdaq compliance.
