Marie regularly handles high-stakes securities class action and derivative litigation, shareholder disputes, merger and acquisitions litigation, SPAC litigation, and shareholder inspection demands under Delaware and California law, and is known for her “fierce representation of companies, directors and officers” in such matters.

Marie also has extensive experience conducting internal and board investigations on a range of matters, including financial and accounting issues and the Foreign Corrupt Practices Act, and has represented companies in regulatory and enforcement matters with both the Securities and Exchange Commission and the Department of Justice.

Marie has authored articles on a number of topics, including developments in Delaware and the federal securities laws, corporate governance issues, shareholder inspection demands, and fiduciary duty claims.

  • Represented Diamond Foods company and directors in Diamond Foods Securities Litigation (N.D. Cal.): Despite pending enforcement actions by the SEC and DOJ, we mounted a strong challenge to class certification and achieved a favorable resolution.
  • Represented GoPro in GoPro Inc. Stockholder Derivative Litigation. The Chancery Court dismissed a derivative stockholder suit against GoPro that alleged the company’s board had failed to promptly disclose costly new product launch troubles in 2016 related to the company’s HERO5 camera line and Karma drones.
  • Represented HeadSpin, Inc. in internal and SEC investigations relating to allegations of accounting impropriety, resulting in settled charges with no penalty due to significant remedial efforts and cooperation.
  • Represented Hypernet Labs and officers Rostami v. Hypernet Inc. et al (N.D. Cal.), an individual shareholder action relating to forward token purchase agreement. Motion to dismiss granted.
  • Representing Keynetics in Keynetics, Inc. v. Keynetics Shareholder Trust (Del. Chancery), an action to enforce transfer restrictions. Final judgment and multiple sanctions motions granted in favor of Keynetics, including extraordinary relief of order dissolving defendant trust and permanent bar against trustee’s future involvement in Keynetics stock.
  • Represented Vocera in Vocera Comm., Inc. Securities Litigation (N.D. Cal.). Motion to dismiss granted in part; case settled thereafter.
