Fenwick Represents FormSwift in Acquisition by Dropbox

Fenwick represented FormSwift, a cloud-based service that gives individuals and businesses a simple solution to create, complete, edit and save critical business forms and agreements, in its acquisition by Dropbox (NASDAQ: DBX), a provider of cloud-storage and content collaboration tools, for $95 million in cash, subject to customary purchase price adjustments.

The combination of Dropbox’s already robust document storage, signing and sharing capabilities with FormSwift’s extensive template library and intuitive self-serve platform will help Dropbox make progress against its goal of building an end-to-end agreement workflow capability. More information can be obtained from the announcement.

The Fenwick transaction team included corporate partner Scott Behar and associates Sam Fleuter, Min Ju Park, Brooke Longhurst and Liz Malmen; executive compensation and employee benefits partner Matt Cantor and associate Bryan Belok; technology transactions partner Ralph Pais, counsel Susanne Petersen and associate Aaron Dunn; privacy and cybersecurity counsel Ana Razmazma; tax partner Will Skinner and associate Kris Hatch; and trade and national security partner Melissa Duffy and associate Sofia Chalet.
