Brooklynn advises public and private companies on a range of international trade and national security matters. One focus of her practice is counseling clients on national security reviews of foreign direct investment by the Committee on Foreign Investment in the United States (CFIUS), providing strategic counsel at all stages of the CFIUS process. This includes pre-transaction risk assessments for fundraising, minority and majority investments, and mergers and acquisitions; navigating the review process; advocating for clients when engaging with CFIUS; and negotiating mitigation agreements. Brooklynn also counsels clients on foreign ownership, control, and influence (FOCI) reviews and mitigation by the Defense Counterintelligence and Security Agency (DCSA) for companies with security clearances that are involved in classified contracts with the U.S. government.
In addition, Brooklynn advises clients on compliance with economic sanctions programs administered by the Office of Foreign Assets Control (OFAC), export controls administered under the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR), and tariff actions involving U.S. agencies such as the United States Trade Representative (USTR). Her work includes providing day to day compliance advice and due diligence, developing trade compliance programs, conducting internal investigations, and representing clients before U.S. government agencies to help deliver tailored solutions and ensure companies operate smoothly within complex regulatory frameworks.
