Fenwick & West represented King Digital Entertainment plc (NYSE: KING), a leading interactive entertainment company for the mobile world, in its recently announced agreement to acquire Z2Live, Inc., a Seattle-based game development company. Total consideration for the acquisition consists of $45 million in cash, and up to $105 million of additional cash consideration linked to future events, including revenues generated by certain games launched by Z2Live over a specific period, to be paid annually over a three-year period following the acquisition date. The acquisition is subject to the satisfaction or waiver of customary conditions, including regulatory approval in the United States.
