Shawn advises emerging growth businesses, public companies, and venture and institutional investors on executive compensation and employee benefits.

Shawn advises clients on a wide range of benefit and compensation programs, as well as the tax, securities and accounting issues related to these programs for startup and emerging growth companies, manufacturing and service businesses. She works with clients to structure compensation and benefit programs covering the full spectrum of equity and cash compensation arrangements, including all types of employee stock options, restricted stock, employee stock plans, employment agreements, deferred compensation and other fringe benefit arrangements. Shawn also negotiates and prepares incentive, employment and severance packages for both employers and key employees and has experience in the representation of companies in IRS and Department of Labor audits of retirement plans. She also works closely with clients on the equity compensation, benefit and ERISA issues that arise in merger and acquisition transactions and securities offerings.
Before joining Fenwick, Shawn was a partner at Gunderson Dettmer. Prior to that, she was with the law firms of Brobeck Phleger & Harrison and Bingham Dana & Gould. Shawn is a co-author of Executive Compensation for Emerging Companies.
