Dan Winnike represents publicly-held companies on disclosure and fiduciary responsibility, financing and M&A matters.

Dan has advised companies and underwriters on numerous IPO and follow-on equity offerings, including offerings for ADIC, Amyris, Ancor Communications, ArcSight, Flextronics International, The Good Guys, Invivo, Natus Medical, Ontrack Data International, Sanmina, URS Corporation and Vocera Communications. Among his clients in registered public, and Rule 144A, debt offerings raising over $12 billion are Adaptec, Cisco Systems, Covad Communications, Symantec and URS Corporation.

Dan has represented underwriters on equity and debt securities offerings including JP Morgan, BofA Merrill Lynch, Donaldson, Lufkin & Jenrette, Montgomery Securities, and UBS Warburg.

Dan has led and supported a wide variety of public company M&A transactions, including cash mergers, stock mergers, tender offers and section 3(a)(10) transactions for clients such as Adaptec, Charles Schwab, Cisco Systems, Invivo, Longs Drugs, Lexar Media, Natus Medical, Symantec and Valley Media.

He regularly assists numerous publicly-held companies, including their Boards of Directors and Audit Committees, in public reporting matters, establishing compliance with the Sarbanes-Oxley Act of 2002, the Dodd-Frank Act and the JOBS Act, resolving SEC comments, establishing and maintaining compliance with evolving stock exchange listing requirements, interacting with activist shareholders, and special committee assignments.

Dan has published numerous articles on securities and corporate law matters in leading publications such as The Business Lawyer, Securities Regulation Law Journal, and Insights and speaks regularly at third party educational programs and firm briefings.

After receiving his law degree, Dan practiced with Gibson, Dunn & Crutcher and Howard, Rice, Nemerovski, Canady, Falk & Rabkin, a professional corporation, in their corporate and securities departments.
