Fenwick represented Vocera Communications, Inc. (NYSE: VCRA) in its definitive agreement to be acquired by Stryker (NYSE: SYK) for a total equity value of approximately $2.97 billion and a total enterprise value of approximately $3.09 billion (including convertible notes).
Under the terms of the merger agreement, Stryker will commence a tender offer for all outstanding shares of common stock of Vocera for $79.25 per share in cash. The acquisition is expected to close in the first quarter of 2022. More information can be found in the company’s announcement.
