Jennifer counsels clients operating in the healthcare industry on regulatory and transactional matters. Jennifer advises public and private clients, such as healthtech and digital health companies, healthcare provider organizations and health systems, medical device, therapeutics, diagnostics and other life sciences companies, on matters involving:
- Fraud and abuse counseling and compliance, e.g., Federal Anti-Kickback Statute, Federal False Claims Act, Federal Stark law, Physician Payments Sunshine Act and state equivalents and related compliance program development and counseling
- Digital health, virtual care and teleprescribing laws and regulations
- State facility, labs/diagnostic, CLIA, pharmacy, health plans and other healthcare licensure and regulatory compliance
- Government healthcare program and commercial reimbursement compliance
- Integrated delivery and care management systems, including clinically integrated networks, value-based care models, care coordination / management arrangements, provider networks and other innovative care delivery systems
- Health data privacy and security matters and related compliance, e.g., Health Insurance Portability and Accountability Act (HIPAA) and other state data privacy laws
Jennifer is a member of the American Health Lawyers Association and the American Bar Association Health Law Section.
Jennifer primarily handles transactional and regulatory matters for healthcare industry clients, including regulatory counseling and structuring, mergers, acquisitions, joint ventures, affiliations, financings, securities offerings and other arrangements. Jennifer also advises on the assessment of regulatory compliance risks for financial interests such as underwriters, venture capital groups and private equity firms investing in healthtech and life sciences companies, and has experience in a wide variety of healthcare provider transactions, including:
- Vertical integration and structuring in compliance with scope of practice laws, prohibitions on the corporate practice of licensed professions and professional fee-splitting laws, and telehealth and other virtual care laws
- Structuring strategic, contractual arrangements, such as joint ventures and other partnerships, to comply with applicable federal and state healthcare regulatory requirements
- Mergers, acquisitions and affiliations involving healthtech and digital health companies, health provider organizations, health plans, diagnostics, biotech/pharma, therapeutics and medical device/medtech companies
- Formation of care management organizations (e.g., ACOs, IPAs, and other value-based networks)
- Counseling on HIPAA/health data privacy and security compliance matters, including advising on responses to data breach and other unauthorized disclosures
Jennifer also has experience in providing litigation support for healthcare-related matters, such as white collar, government investigations, internal investigations, compliance audits and voluntary disclosures relating to federal and state anti-kickback, false claims, self-referral laws, HIPAA / health data privacy and security laws.
